Asconi Engages New Independent Auditors

ORLANDO, Fla., June 24 /PRNewswire-FirstCall/ -- Asconi Corporation
(Amex: ACD), an Eastern European producer of wines and spirits,
today announced that on June 22, 2004, the Audit Committee of the
Board of Directors of the Company engaged the accounting firm of
Moore Stephens Lovelace, P.A. as its independent auditors for the
year ending December 31, 2004. The engagement is effective immediately
and will include that firm's review of the financial statements
to be included in the Company's Form 10-QSB for the quarter ended
March 31, 2004. Although there is no assurance, the Company presently
anticipates the filing of its Quarterly Report on Form 10-QSB for
the quarter ended March 31, 2004 to occur on or about June 30, 2004.
Moore Stephens Lovelace P.A. replaces Michaelson & Co., P.A., which audited Asconi's financial statements for the years ended December 31, 2002 and 2003. Michaelson's audit reports on the consolidated financial statements of the Company and subsidiaries as of and for the years ended December 31, 2003 and 2002, did not contain any adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope, or accounting principles. During Michaelson's engagement with the Company and through June 22, 2004 the Company did not have any disagreements with Michaelson on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to the satisfaction of Michaelson, would have caused Michaelson to make a reference to the subject matter of the disagreements in connection with its reports.
